Affiliate Terms & Conditions

By applying to, joining, or participating in the Lady & Billy Affiliate Program, you agree to these Affiliate Terms & Conditions.

The Lady & Billy Affiliate Program is operated by Magic Makers Studio (“Lady & Billy”, “we”, “us” or “our”).

1. Eligibility and Acceptance

Participation in the Lady & Billy Affiliate Program is subject to approval.

We reserve the right to approve or decline any application at our discretion and may suspend or terminate an affiliate account where these Terms are breached, fraudulent or misleading activity is suspected, or continued participation could reasonably harm Lady & Billy, its customers, its intellectual property or its reputation.

Participation in the Affiliate Program does not create an employment, agency, partnership, franchise or joint-venture relationship between the affiliate and Lady & Billy. Affiliates act independently and are responsible for their own activities.

2. Affiliate Links and Tracking

Approved affiliates will receive access to their unique affiliate tracking link.

To receive commission, qualifying purchases must be properly attributed to the affiliate through Lady & Billy’s affiliate tracking system.

Affiliates are responsible for using the correct affiliate links provided to them. Lady & Billy cannot guarantee attribution where an affiliate link has been incorrectly copied, modified, removed, replaced or otherwise used in a way that prevents proper tracking.

Commission will be determined by the records contained in Lady & Billy’s affiliate and transaction systems.

Affiliates are authorised to promote Lady & Billy products only through their official affiliate links and may not independently sell, resell or collect payment for Lady & Billy paid products.

All paid customer purchases must be completed through the official Lady & Billy sales and checkout process accessed through the affiliate’s tracking link.

Access to paid Lady & Billy products, Club membership content and purchased digital materials is handled exclusively by Lady & Billy through the applicable membership area or other official digital delivery system designated by Lady & Billy.

Affiliates must not provide customers with copies of paid Lady & Billy products, membership credentials or alternative methods of accessing purchased content outside the official Lady & Billy delivery system.

Limited exception: approved affiliates may directly deliver Edition 000 and the Founder’s Letter to eligible referred Club customers when those assets are being used as the authorised Affiliate Customer Acquisition Bonus described in Section 14.

This exception applies only to Edition 000 and the Founder’s Letter and does not extend to any paid Lady & Billy product or membership content.

3. Affiliate Commission

Affiliates earn 50% commission on the customer’s first qualifying purchase of the main product made through their affiliate link.

Where the customer purchases an eligible Order Bump as part of that initial qualifying order, the affiliate will also earn 15% commission on the qualifying Order Bump purchase.

Commissions apply to the customer’s initial qualifying purchase only.

Unless expressly stated otherwise for a specific promotion or offer, affiliates do not earn recurring commissions on subscription renewals or commissions on subsequent purchases made by the same customer.

Lady & Billy may introduce products, promotions or offers with different commission structures. Where this occurs, the applicable commission will be communicated before the affiliate promotes that specific offer.

4. Qualifying Sales

A commission is payable only on a valid, successfully completed and properly attributed qualifying transaction.

No commission is payable on transactions that are fraudulent, duplicate, cancelled, reversed, charged back, unauthorised, made in violation of these Terms, or otherwise determined not to constitute a valid qualifying sale.

Lady & Billy reserves the right to correct commissions that were credited as a result of technical error, duplicate tracking, fraud or an invalid transaction.

For the avoidance of doubt, any final-sale or no-refund policy applicable to a Lady & Billy product does not prevent a transaction from being reversed, charged back, disputed, identified as fraudulent or otherwise determined to be invalid.

Any related affiliate commission may therefore be withheld, invalidated or corrected accordingly.

For purposes of Affiliate Performance Rewards, a Valid Club Annual Referred Sale means a successfully completed, properly attributed Lady & Billy Club Annual purchase recognised as valid by Lady & Billy’s affiliate and transaction systems and not subsequently invalidated under these Terms.

5. Self-Referrals

Affiliate links may not be used primarily to obtain a commission or discount on the affiliate’s own purchases.

Purchases made by an affiliate through their own affiliate link, or arrangements designed to circumvent this rule, may be excluded from commission and may result in suspension or termination from the Affiliate Program.

6. Commission Payments

Affiliate commissions are paid once per month, on the 15th, for commissions eligible for payment at that time.

If an eligible commission is not included in a particular payment cycle, it will roll over to the following monthly payment cycle.

There is no minimum payout threshold. Eligible commissions will be included in the applicable payment cycle regardless of their amount, subject to any unavoidable payment-provider restrictions.

Payments are made via PayPal.

Affiliates must maintain an active PayPal account and are responsible for ensuring that the PayPal payment information associated with their affiliate account is complete, accurate and up to date.

Lady & Billy is not responsible for delayed, unsuccessful or misdirected payments resulting from incorrect, outdated or inaccessible PayPal information supplied by the affiliate.

Lady & Billy is not responsible for proactively identifying or individually notifying affiliates that their payment information is incorrect or outdated.

If an expected payment has not been received, the affiliate should first verify their PayPal account and payment information.

7. Taxes and Fees

Affiliates are responsible for determining and fulfilling any tax, reporting, registration or other legal obligations arising from commissions they receive.

Any fees, currency-conversion charges or other costs imposed by PayPal, the affiliate’s financial institution or another payment provider on receipt of a payment are the affiliate’s responsibility unless applicable law requires otherwise.

8. Permitted Promotion

Affiliates may promote Lady & Billy through appropriate websites, social media accounts, email audiences and other legitimate marketing channels, subject to these Terms and any additional brand or promotional guidelines provided by Lady & Billy.

Affiliate promotion must be honest and must accurately represent Lady & Billy and its products.

Affiliates may not make false, misleading or unsubstantiated statements about Lady & Billy, its stories, products, memberships, pricing, benefits or offers.

Affiliates must not represent themselves as Lady & Billy, Magic Makers Studio, an employee of either brand, or an official Lady & Billy account.

Affiliates must promote Lady & Billy products in a manner consistent with the information presented on the applicable official Lady & Billy sales page and any promotional materials or guidance provided by Lady & Billy.

Affiliates may not invent, alter, exaggerate or misrepresent product features, contents, benefits, pricing, membership access, delivery methods, guarantees, bonuses, availability or other terms of an offer.

Affiliates may express their own genuine opinions or experiences with Lady & Billy products, but must not present personal interpretations, assumptions or claims as official product features, promises or representations made by Lady & Billy.

Approved affiliates may promote Edition 000 + the Founder’s Letter as an authorised bonus for eligible customers who join the Lady & Billy Club through the affiliate’s official tracking link, subject to Section 14.

9. Affiliate Disclosure

Affiliates are responsible for complying with applicable advertising, endorsement and consumer-protection requirements.

Where required, affiliates must clearly disclose their affiliate relationship so that their audience understands that the affiliate may receive a commission when a purchase is made through their link.

The disclosure must be clear and appropriately placed for the promotional channel being used.

10. Prohibited Promotional Practices

Affiliates must not:

• send unsolicited bulk messages or engage in spam;
• use misleading, deceptive or fraudulent advertising;
• make false claims about Lady & Billy or its products;
• impersonate Lady & Billy, Magic Makers Studio or their representatives;
• create websites, social accounts or other properties that could reasonably be mistaken for official Lady & Billy properties;
• use misleading redirects, cookie stuffing, forced clicks or other artificial attribution techniques;
• interfere with another affiliate’s tracking or commissions;
• offer unauthorised discounts, cashback, rebates or incentives using their commission;
• distribute paid Lady & Billy products outside the official Lady & Billy delivery system;
• use Edition 000 or the Founder’s Letter outside the specific permissions established in Section 14;
• engage in activity that could reasonably damage the Lady & Billy brand or customer experience.

Lady & Billy may invalidate commissions generated through prohibited promotional practices.

11. Paid Advertising and Brand Bidding

Affiliates may not bid on or purchase advertising using protected Lady & Billy or Magic Makers Studio brand names, character names, trademarks, confusing variations or branded search terms without prior written permission.

Affiliates must not run advertisements that impersonate an official Lady & Billy advertisement, account or website.

Any additional paid-advertising restrictions communicated by Lady & Billy form part of these Terms.

12. Intellectual Property

All Lady & Billy characters, names, stories, illustrations, artwork, audio, video, logos, trademarks, written material and other creative assets remain the intellectual property of their respective rights holders.

Participation in the Affiliate Program does not transfer ownership of any Lady & Billy intellectual property to an affiliate.

Affiliates may use promotional materials expressly provided or approved for affiliate promotion solely for the purpose of promoting Lady & Billy during their participation in the program.

Unless expressly authorised, affiliates may not reproduce, sell, distribute, republish, materially alter, create derivative products from or otherwise commercially exploit Lady & Billy intellectual property.

Affiliate access to stories, editions, audio, artwork or other materials does not automatically grant permission to distribute those materials to the affiliate’s audience.

The specific permission to distribute Edition 000 + the Founder’s Letter as an Affiliate Customer Acquisition Bonus is a limited exception governed exclusively by Section 14.

This exception does not transfer copyright, ownership or other intellectual-property rights to the affiliate.

13. Promotional Assets

Lady & Billy may provide affiliates with images, videos, copy, links or other promotional materials.

Approved assets may be used only in connection with legitimate promotion of Lady & Billy and in accordance with any accompanying guidelines.

Lady & Billy may require an affiliate to remove or correct promotional material that is inaccurate, outdated, misleading, inconsistent with the brand or otherwise inappropriate.

Where Lady & Billy supplies Edition 000 + the Founder’s Letter to an approved affiliate for use as a Customer Acquisition Bonus, the affiliate may download the files or create a separate copy in their own controlled storage for the authorised use described in Section 14.

The affiliate must not modify, delete, move, overwrite or otherwise interfere with Lady & Billy’s original source files.

14. Pre-Affiliate Experience, Customer Acquisition Bonus and Affiliate Performance Rewards

Edition 000 + the Founder’s Letter and the Affiliate Performance Rewards serve different purposes and are governed separately.

14.1 Pre-Affiliate Experience

Edition 000 + the Founder’s Letter may be provided by Lady & Billy to selected prospective affiliates before they join the Affiliate Program.

Their purpose is to allow a prospective affiliate to experience Lady & Billy, provide genuine feedback and determine whether the brand and products are appropriate for their audience.

Receiving Edition 000 + the Founder’s Letter during the recruitment process does not automatically make the recipient a Lady & Billy affiliate.

Until approved as an affiliate, the recipient may not distribute, sell, share, republish or use those materials as promotional or customer-acquisition assets.

Edition 000 + the Founder’s Letter are therefore not rewards for joining the Affiliate Program.

14.2 Affiliate Customer Acquisition Bonus

Once approved as a Lady & Billy affiliate, the affiliate may use Edition 000 + the Founder's Letter as an approved free lead magnet for Lady & Billy-related lead generation and customer acquisition. Permitted recipients include prospects, leads and eligible referred customers, whether or not they have yet joined the Lady & Billy Club. Permitted uses include Lady & Billy-related landing pages, email funnels, nurture sequences and other audience-building activities, subject to these Terms.

Lady & Billy supplies approved access to the files. The affiliate may download them, create a separate operational copy in controlled storage, and deliver the unmodified approved files directly to prospects, leads and eligible referred customers.

The affiliate may inform prospective customers that, when they join the Lady & Billy Club through that affiliate’s official tracking link, they will also receive Edition 000 + the Founder’s Letter as an additional digital bonus.

This authorised bonus may apply to a valid new Lady & Billy Club membership using either the Monthly or Annual billing option, unless Lady & Billy communicates otherwise for a specific promotion.

The affiliate may deliver Edition 000 + the Founder’s Letter directly to qualifying customers.

For this authorised purpose, Lady & Billy may provide the affiliate with access to the approved files. The affiliate may download those files or create a copy in their own controlled storage for delivery to qualifying referred Club customers.

This permission applies only to Edition 000 + the Founder’s Letter.

The affiliate may not:

• sell Edition 000 or the Founder’s Letter separately;
• charge an additional fee for them;
• materially alter them and present the altered version as official Lady & Billy material;
• sublicense them;
• upload them publicly for unrestricted access;
• redistribute them outside the approved Lady & Billy affiliate context;
• or represent them as part of the standard paid Club membership unless Lady & Billy expressly states that they are included.
  

This limited permission does not transfer ownership of the intellectual property.

All paid Lady & Billy products and Club membership content remain exclusively delivered through official Lady & Billy systems.

14.3 Affiliate Performance Rewards

Affiliate Performance Rewards are separate from Edition 000 + the Founder’s Letter.

Approved affiliates may earn the following digital performance rewards:

The Complete Lady & Billy Collection

Only valid Club Annual Referred Sales count toward these reward milestones.

The following do not count toward Affiliate Performance Reward thresholds:

• Club Monthly sales;
• The Day Lady Found Her Home standalone sales;
• Order Bump purchases;
• Monthly Club renewals;
• Annual Club renewals;
• duplicate transactions;
• cancelled transactions;
• reversed transactions;
• chargebacks;
• unauthorised transactions;
• fraudulent transactions;
• transactions otherwise determined not to constitute a valid qualifying sale.

Each valid qualifying Club Annual referred customer counts once toward the reward milestones.

Later renewal or transaction events relating to that same purchase do not create additional reward-counting sales.

14.4 Personal Use of Performance Rewards

The Day Lady Found Her Home and the Complete Lady & Billy Collection received as Affiliate Performance Rewards are provided exclusively for the affiliate’s personal use.

These rewards:

• have no cash alternative;
• cannot be exchanged for additional commission;
• may not be sold;
• may not be gifted;
• may not be transferred;
• may not be shared or redistributed;
• may not be republished;
  
• may not otherwise be commercially exploited.

Receipt of a Performance Reward does not transfer ownership of, or grant additional rights in, Lady & Billy intellectual property.

The authorised Customer Acquisition Bonus permission for Edition 000 + the Founder’s Letter is a separate exception and does not extend to these Performance Rewards.

14.5 Reward Changes

Lady & Billy reserves the right, at its discretion, to modify, replace, suspend or discontinue any affiliate reward, reward threshold or reward structure.

Where practical, material changes affecting future Affiliate Performance Rewards will be communicated to participating affiliates.

Any replacement reward may differ from a previously available reward.

Changes to affiliate rewards do not affect cash commissions validly earned under the commission terms applicable at the time of the qualifying transaction.

15. Monitoring and Compliance

Lady & Billy may review affiliate promotional activity where reasonably necessary to protect customers, verify compliance, investigate suspected abuse or protect the brand.

If an affiliate breaches these Terms, Lady & Billy may request corrective action, suspend affiliate privileges, invalidate commissions arising from prohibited activity or terminate participation, depending on the nature and seriousness of the breach.

Lady & Billy may also withdraw permission to use Edition 000 + the Founder’s Letter as a Customer Acquisition Bonus where those assets are being misused or distributed outside the authorised purpose.

16. Suspension and Termination

Either party may end the affiliate relationship.

Lady & Billy may suspend or terminate participation immediately where there is suspected fraud, abuse, unlawful activity, material misrepresentation, misuse of intellectual property or another serious breach of these Terms.

Termination does not entitle an affiliate to commissions arising from invalid, fraudulent or prohibited transactions.

Valid commissions properly earned before termination remain subject to these Terms and the applicable payment process.

Upon termination, the affiliate must stop presenting themselves as a Lady & Billy affiliate and cease using affiliate-only promotional materials or intellectual property except where otherwise permitted.

Upon termination, the affiliate must also stop offering or distributing Edition 000 + the Founder’s Letter as an Affiliate Customer Acquisition Bonus.

Termination does not require the affiliate to delete personal-use Performance Rewards legitimately received before termination, but those rewards remain subject to the personal-use restrictions in these Terms.

17. Changes to the Affiliate Program

Lady & Billy may update these Terms, commission structures, promotional rules, payment procedures or other aspects of the Affiliate Program as the program evolves.

Except as otherwise expressly provided in these Terms, changes will apply prospectively as communicated, except where an immediate change is reasonably necessary for legal, security, fraud-prevention or platform-compliance reasons, in which case the change may take effect immediately.

Continued participation after an applicable update takes effect constitutes acceptance of the updated Terms.

18. Availability of the Program

Lady & Billy does not guarantee that the Affiliate Program, any particular product, commission rate, promotional asset, reward or offer will remain available indefinitely.

Products, offers and program features may be changed, replaced or discontinued.

19. Limitation of Responsibility

Lady & Billy does not guarantee any particular level of traffic, sales, commissions or income from participation in the Affiliate Program.

Each affiliate is responsible for how they choose to promote Lady & Billy and for complying with laws and platform rules applicable to their promotional activities.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

20. Governing Law and Jurisdiction

These Terms and the Lady & Billy Affiliate Program shall be governed by and construed in accordance with the laws of Portugal, without prejudice to any mandatory provisions of applicable law that cannot lawfully be excluded by agreement.

To the extent permitted by applicable law, any dispute arising out of or relating to these Terms or participation in the Lady & Billy Affiliate Program shall be subject to the jurisdiction of the competent courts of Portugal.

Nothing in this section is intended to exclude or restrict any rights or protections that cannot lawfully be excluded or restricted under applicable law.

Before contacting support regarding a missing commission payment, affiliates should first confirm that their PayPal account is active and that the payment details associated with their affiliate account are correct and up to date.
